The Corporate Paralegal position will provide organizational and practice specific assistance to Senior Paralegal, Paralegal Director and Associate General Counsel. . Assist Junior Paralegal with directions as needed. Demonstrates professionalism, attention to detail, and ability to handle multiple priorities and work in an organized and efficient manner. Duties & Responsibilities include but not limited to preparing correspondence, notebooks, drafting documents, forming entities, prepare UCC filings, confidentiality agreements, service agreements; corporate governance, and maintaining case files. Position will be full time; physical presence at corporate office is required.
Essential Duties and Responsibilities include the following. Other duties and tasks may be assigned.
- Assists legal department in multiple facets of corporate law.
- Updates company files, prepares legal contracts, reviews documents, and assists with legal research.
- Maintains and files corporate records, including resolutions, board of director changes and annual reports.
- Produces documents related to the development and implementation of corporate legal policies and templates.
- Oversees the contract process, including planning, collaboration, negotiation, and execution.
- Provides administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions.
- Works with members of the legal team on special projects and initiatives.
- Actively promotes GUEST customer service standards; develops effective relationships at all levels of the organization.
- Participates in team concepts and promote a team effort; performs duties in accordance with company policies and procedures.
- Regular and reliable attendance is required for the job.
- Under the supervision and direction of Senior Paralegal, helps to manage and organize the material.
